Terms and Conditions of Service (Rider)

1. Introduction and Agreement to Terms

Welcome to nextRIDE! These Terms and Conditions of Service ("Terms") govern your access to and use of the nextRIDE mobile application (the "App") and any services provided through it (collectively, the "Services").

By accessing or using the App and Services, you agree to be bound by these Terms, which establishes a contractual relationship between you and nextRIDE. If you do not agree to these Terms, you may not access or use the Services.

Geographic Scope: The Services are currently offered and are intended for use only within the Republic of Ghana.

Please Note: nextRIDE is a technology platform that connects users ("Riders") seeking transportation services with independent third-party drivers ("Drivers"). nextRIDE does not provide transportation services itself.

2. Eligibility and Account Registration

• Eligibility: You must be at least 18 years old to create an account and use the Services. By agreeing to these Terms, you represent and warrant that you are at least 18 years old. The Services are not available for use by persons under the age of 18.

• Account: To access most features of the Services, you must register for and maintain an active personal user account ("Account"). You are responsible for all activity under your Account.

• Accuracy: You agree to provide accurate, complete, and up-to-date information for your Account and to maintain the accuracy of such information.

• Security: You are responsible for maintaining the confidentiality and security of your Account password. Notify nextRIDE immediately of any unauthorized use of your Account.

• No Unauthorized Use: You may not authorize third parties to use your Account, and you may not allow persons under the age of 18 to receive transportation services from Drivers unless they are accompanied by you.

3. The nextRIDE Services

• Platform Provider: nextRIDE provides a technology platform that enables Riders to arrange and schedule transportation services with independent third-party Drivers.

• Independent Contractors: You acknowledge that Drivers are independent third-party contractors and are not employees, agents, or joint ventures of nextRIDE. Nothing in these Terms, or any interaction with nextRIDE, shall be construed to create an employment, partnership, joint venture, or agency relationship between nextRIDE and any Driver or Rider. nextRIDE has no right to control, and does not control, the manner or means by which any Driver performs transportation services.

• No Guarantee: nextRIDE does not guarantee the availability of Drivers or the provision of transportation services.

• Safety Features Disclaimer: nextRIDE may offer safety features within the App, such as an SOS button. You acknowledge that the SOS button is a notification feature designed solely to alert your designated emergency contacts and is not a substitute for official emergency services. In the event of a real-world emergency, you must contact the proper authorities (e.g., police, fire, ambulance) directly. nextRIDE disclaims any and all liability for the efficacy of this feature or any failure to contact or respond to emergency services.

• Driver Insurance and Accident Protocol: You understand that Drivers are required to maintain their own personal vehicle insurance. nextRIDE may also maintain a separate, limited insurance policy that provides contingent or excess coverage. In the event of an accident or incident during a ride, you agree to immediately notify nextRIDE through the App's support channels and to cooperate fully with any investigation by nextRIDE or its insurers. You acknowledge that nextRIDE's insurance coverage is not a substitute for your own or the Driver's insurance, and you agree to rely on the applicable insurance policies for all claims and damages.

4. Fares, Payments, and Charges

• Fare Calculation: Fares for rides are calculated based on factors such as distance, time, demand (surge pricing), tolls, and applicable fees, as displayed in the App.

• Payment: All fares are charged to your designated payment method (e.g., credit card, debit card) linked to your Account. You authorize nextRIDE to charge all applicable fees incurred for your rides.

• Cash Payments: For trips designated as "cash payments," you agree and are contractually bound to pay the full fare directly to the Driver in cash immediately upon arrival at your destination. Failure to make full payment may result in restrictions on your Account, including but not limited to, temporary suspension or permanent deactivation, and may be subject to legal action.

• Cancellation Fees: Cancellation fees may apply if you cancel a ride after a certain time, as specified in the App's cancellation policy.

• Tips: You may choose to tip your Driver, and nextRIDE facilitates the payment of such tips but does not retain any portion of them.

• Payment Disputes: Any payment disputes must be raised within ten (10) days of the transaction.

• Taxation: You are solely responsible for any applicable taxes, duties, or other governmental charges that may arise from your use of the Services or any payments or transfers made through the App.

• Refunds Policy: All refunds, at nextRIDE's sole discretion, shall be issued initially as Wallet credit to your Account. If you request a refund to your original payment method, please allow up to seven (7) business days for the transaction to be processed and for the funds to appear in your account. You acknowledge that nextRIDE is not liable for any delays that are beyond its control once the funds have been released to the original payment processor.

4.1. Digital Wallet and User-to-User Transfers

• Digital Wallet: nextRIDE may offer a digital wallet feature ("Wallet") within the App, allowing you to store funds for future rides.

• No Cash Conversion: Funds uploaded to your Wallet are for the sole purpose of paying for rides and cannot be converted back to real currency, withdrawn, or transferred outside the nextRIDE ecosystem. All Wallet top-ups are final, non-refundable, and non-redeemable for cash, except as required by law.

• User-to-User Transfers: You may have the ability to transfer Wallet money to other nextRIDE users.

• Disclaimer on Transfers: You acknowledge and agree that nextRIDE acts solely as a facilitator for peer-to-peer Wallet transfers and is not responsible for any errors in transfer initiation, disputes between users regarding transfers, or any fraudulent activities associated with such transfers.

• User Responsibility: You bear full and sole responsibility for verifying the accuracy of recipient details before initiating any transfer.

• Irreversibility: Once initiated and processed, Wallet transfers are generally final and irreversible.

• Limits and Fees: nextRIDE reserves the right to impose limits on transfer amounts, frequency, and to apply transfer fees, which will be communicated in the App.

• No Guarantees: nextRIDE does not guarantee the availability or functionality of Wallet transfers at all times and may suspend or terminate this feature at its discretion.

5. User Conduct and Responsibilities

• Respectful Conduct: You agree to treat Drivers and other users with respect and to abide by nextRIDE's community guidelines.

• No Illegal Activities: You shall not use the Services for any unlawful purpose or in any way that violates applicable laws.

• Vehicle Damage: You are responsible for the cost of repair for damage to Driver vehicles resulting from your use of the Services, beyond normal wear and tear.

• Trip Cancellation for Safety: For their own safety and security, Drivers reserve the right to immediately terminate a trip at any point in time if they feel their safety is threatened or compromised. In such an event, the Driver may stop the vehicle and instruct the Rider to exit the vehicle. You acknowledge and agree that you will not hold nextRIDE liable for any such termination of a trip.

• Prohibited Conduct and Service Termination: You agree not to engage in any form of fraudulent activity, misrepresentation, or abuse of the App, Drivers, or the Services. This includes, but is not limited to, using false identities, manipulating fare calculations, attempting to damage the reputation of the platform or its users, or engaging in any conduct that is unlawful, harassing, or disrespectful. You acknowledge and agree that any such abuse, fraud, or misrepresentation, as defined at the sole discretion of nextRIDE, may result in the immediate and permanent suspension or termination of your Account without any recourse.

• Non-Disparagement: You agree not to make any negative statements, whether written, verbal, or electronic, that are intended to harm the reputation of nextRIDE, its affiliates, its employees, or its Drivers. This includes, but is not limited to, social media posts, public forums, or other media outlets, except as required by law or in a legal proceeding.

6. Lost Property

• Your Responsibility: You are solely responsible for all personal belongings and property you bring into a Driver's vehicle. It is your responsibility to ensure you have all your belongings with you when you exit the vehicle.

• Reporting Lost Property: If you believe you have left an item in a Driver's vehicle, you should immediately report the lost item through the nextRIDE App. nextRIDE will make a reasonable effort to contact the Driver on your behalf to facilitate the item's return.

• NextRIDE's Limited Role: You acknowledge and agree that nextRIDE is not liable for any lost, stolen, or damaged property. nextRIDE's role is strictly limited to helping you connect with the Driver. We do not guarantee that a lost item will be found or returned.

• Return Fees: You understand that a fee may be charged to your account to compensate the Driver for their time and effort in returning a lost item to you.

7. Disclaimers; Limitation of Liability; Indemnity

• Disclaimer of Warranties: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." NEXTRIDE DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, NOT EXPRESSLY SET OUT IN THESE TERMS, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. nextRIDE does not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components. NEXTRIDE MAKES NO REPRESENTATION, WARRANTY, OR GUARANTEE REGARDING THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, OR AVAILABILITY OF THE SERVICES OR ANY SERVICES OR GOODS REQUESTED THROUGH THE USE OF THE SERVICES, nor does it guarantee the quality, suitability, safety, or ability of third-party providers (including Drivers).

• Limitation of Liability: YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE SERVICES, AND ANY THIRD-PARTY SERVICES OR GOODS REQUESTED IN CONNECTION THEREWITH, REMAINS SOLELY WITH YOU, TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW. NEXTRIDE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, PERSONAL INJURY, OR PROPERTY DAMAGE RELATED TO, IN CONNECTION WITH, OR OTHERWISE RESULTING FROM ANY USE OF THE SERVICES, EVEN IF NEXTRIDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NEXTRIDE SHALL NOT BE LIABLE FOR ANY DAMAGES, LIABILITY OR LOSSES ARISING OUT OF: (i) YOUR USE OF OR RELIANCE ON THE SERVICES OR YOUR INABILITY TO ACCESS OR USE THE SERVICES; OR (ii) ANY TRANSACTION OR RELATIONSHIP BETWEEN YOU AND ANY THIRD PARTY PROVIDER.

• Indemnity: You agree to indemnify and hold nextRIDE and its affiliates, officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including attorneys’ fees) arising out of or in connection with: (i) your use of the Services or services obtained through your use of the Services; (ii) your breach or violation of any of these Terms; (iii) nextRIDE’s use of your User Content; or (iv) your violation of the rights of any third party, including Drivers.

8. Loyalty Program

• Program Offerings: nextRIDE may, from time to time, offer a loyalty points program or other promotional rewards.

• Changes to Rules: You acknowledge and agree that nextRIDE retains the sole and absolute right to change, modify, suspend, or terminate the rules, criteria for earning, redemption values, available rewards, and any other aspect of the loyalty program at any time, with or without prior notice. All decisions regarding loyalty points are at nextRIDE's sole discretion and are final.

9. Communications and Privacy

• Communications: By creating an Account, you agree that nextRIDE may send you informational communications, including via SMS text messages, push notifications, and emails, as part of the normal business operation of your use of the Services. You may opt out of receiving promotional SMS text messages or emails at any time by unsubscribing via the link in the email or texting 'STOP' to the designated number, but you acknowledge that opting out of all communications may impact your use of the Services.

• Off-App Communications: To ensure your safety and accountability, you are encouraged to use the App's built-in communication features. You acknowledge and agree that nextRIDE bears no responsibility and disclaims all liability for any communications, interactions, or transactions that occur between you and a Driver outside of the nextRIDE App. Any such off-platform communications or arrangements are undertaken at your sole risk.

• Privacy: You consent to the collection, use, and disclosure of your personal data by nextRIDE as described in the Privacy Policy. You agree that nextRIDE may use your information for service provision, business operations, safety, research, and marketing.

10. Intellectual Property and User Content

• App License Grant to User: Subject to your compliance with these Terms, nextRIDE grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferrable license to: (i) access and use the App on your personal device solely in connection with your use of the Services; and (ii) access and use any content, information and related materials that may be made available through the Services, in each case solely for your personal, noncommercial use.

• nextRIDE Property: The App and Services, including all intellectual property rights therein (such as copyrights, trademarks, trade secrets), are and shall remain nextRIDE's property or the property of nextRIDE’s licensors. You may not reproduce, modify, prepare derivative works of, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services or App except as expressly permitted by nextRIDE.

• User Content License: By providing User Content (e.g., ratings, comments, feedback) to nextRIDE, you grant nextRIDE a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, create derivative works of, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised, without further notice to or consent from you, and without the requirement of payment to you or any other person or entity. You represent and warrant that you have all rights, licenses, consents, and releases necessary to grant nextRIDE the license to the User Content as set forth above.

• Use of Ratings and Feedback: You grant nextRIDE the right to use, reproduce, and display your ratings, comments, and feedback in connection with the operation, marketing, and promotion of the Services, and to create derivative works therefrom. You waive any right to any monetary compensation for such use.

11. Privacy Policy

Your collection and use of personal information in connection with the Services is described in nextRIDE’s Privacy Policy, located at https://www.nextrideapp.com/privacy. You acknowledge and agree that your user data, including personal information, may be used in various ways by nextRIDE and its affiliates in association with the Services, as well as nextRIDE deems fit, subject always to the more detailed provisions and limitations set forth in the Privacy Policy.

12. Governing Law and Dispute Resolution

• Governing Law: These Terms are governed by and construed in accordance with the laws of the Republic of Ghana, without regard to its conflict of law principles.

• Mandatory Internal Resolution: Prior to initiating any formal legal or arbitration proceeding, both you and nextRIDE agree to first attempt to resolve any dispute, claim, or controversy informally. All disputes (including, but not limited to, fare disputes, claims of misrepresentation, and service-related issues) shall be subject to a good-faith investigation by nextRIDE. You agree that the results of nextRIDE’s investigation shall serve as the basis for the final informal resolution attempt. If the dispute is not resolved to both parties' satisfaction within fifteen (15) business days of the conclusion of nextRIDE's investigation, either party may proceed to formal dispute resolution as provided herein.

• Binding Arbitration: By agreeing to these Terms, you agree that any dispute, claim, or controversy arising out of or in connection with these Terms or the breach, termination, enforcement, interpretation, or validity thereof, or the use of the Services or Application, shall be settled by binding arbitration.

• Arbitration Process: Arbitration will be conducted in Accra, Ghana, in accordance with the Arbitration Rules of the Alternative Dispute Resolution Centre in Accra. The arbitration shall be conducted by a single arbitrator and shall be final and binding on the parties. The arbitrator shall have the authority to award monetary damages, equitable relief, and any other relief that could be granted by a court of law. You acknowledge that by agreeing to these Terms and Conditions, you and nextRIDE are each waiving the right to a trial by jury or to participate as a plaintiff or class member in any class-action lawsuit or class-wide arbitration.

• Class Action Waiver: You and nextRIDE agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action. Unless both you and nextRIDE agree otherwise, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a class or representative proceeding.

13. Termination

nextRIDE may terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof, at any time for any reason.

14. Changes to Terms

nextRIDE reserves the right to modify these Terms at any time. If we make changes, we will provide you with notice of such changes, such as by sending an email, providing a notice through the Services, or updating the "Last Updated" date at the top of these Terms. Your continued use of the Services after such notice constitutes your acceptance of the revised Terms.

15. Miscellaneous Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and nextRIDE regarding the use of the Services.

• Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

• Survival: All provisions of these Terms that, by their nature, should survive termination of your use of the Services shall survive termination, including, without limitation, the sections on Independent Contractors, Disclaimers, Limitation of Liability, Indemnity, Intellectual Property, and Dispute Resolution.

• Survival: The sections on Independent Contractors, Disclaimers, Limitation of Liability, Indemnity, Intellectual Property, and Dispute Resolution shall survive the termination of this Agreement.

• Assignment: You may not assign these Terms in whole or in part without nextRIDE's prior written approval. nextRIDE may assign these Terms in whole or in part without your consent.

• Force Majeure: nextRIDE shall not be liable for any delay or failure in performance resulting from causes beyond nextRIDE's reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, epidemics or pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
