1. Introduction
This nextRIDE Driver Agreement ("Agreement") is a legal contract between you ("Driver") and nextRIDE Technologies Limited ("nextRIDE" or "Company") that governs your access to and use of the nextRIDE technology platform, including the nextRIDE Driver mobile application (the "App") and the services facilitated through it (the "Services").
By clicking "I Agree," or by accessing or using the App, you acknowledge that you have read, understood, and agreed to be bound by the terms of this Agreement. If you do not agree to these terms, you may not access or use the App.
Geographic Scope: The Services are currently offered and are intended for use only within the Republic of Ghana.
2. Independent Contractor Relationship
Your Status: You are an independent contractor and are not an employee, agent, joint venture, or partner of nextRIDE. You acknowledge that you are providing transportation services to Riders, not to nextRIDE.
No Control: nextRIDE does not, and shall not, exercise any control over the manner or means by which you perform your transportation services. You have the sole right to determine when, where, and for how long you will use the App to accept rides. You are free to engage in any other business or employment while you are not actively using the nextRIDE App.
Your Expenses: You are solely responsible for all costs and expenses related to the transportation services you provide, including, but not limited to, vehicle maintenance, fuel, insurance premiums, taxes, fines, licensing fees, and all other business-related costs.
Your Responsibilities: You are responsible for all acts and omissions of your employees, agents, or assistants, if any, and for any and all taxes, including income tax, social security contributions, and other payments due in connection with your income earned through the App.
3. Driver Eligibility and Responsibilities
Age and License: You must be at least 18 years old and hold a valid Ghanaian driver's license.
Network Requirements: You acknowledge that to join and remain on the network of Drivers, you and your vehicle must meet and maintain nextRIDE's standards at all times. These standards include:
A valid driver's license for Ghana.
A valid vehicle insurance sticker (comprehensive is recommended, however, 3rd party is accepted).
A valid Roadworthiness Sticker.
A professional driver profile photo.
Vehicle Requirements: You must use a vehicle that is legally registered and properly insured, and that meets all applicable safety and roadworthiness standards. You are solely responsible for the maintenance and safe operation of your vehicle.
Insurance: You are required to maintain your own motor vehicle insurance policy that meets or exceeds all legal requirements for commercial ride-sharing in Ghana. nextRIDE provides no insurance, whether primary, supplemental, or excess, to cover you, your vehicle, or any incident that may occur during your use of the platform. You understand and agree that you are solely responsible for securing and maintaining adequate insurance coverage.
Background Checks: You authorize nextRIDE and its agents to conduct criminal background checks and driving record checks. You consent to these checks being performed periodically and agree to inform nextRIDE of any material changes to your record.
Accurate Information: You agree to provide nextRIDE with accurate, complete, and up-to-date information regarding your vehicle registration, licenses, permits, and any other information requested by nextRIDE at any time. Failure to provide accurate information or to keep your information current may result in the immediate and permanent suspension or termination of your access to the platform.
Conduct: You will treat Riders and all nextRIDE staff with professionalism and respect. You will not discriminate against any person on the basis of race, religion, national origin, disability, or any other protected characteristic.
4. Use of the nextRIDE Platform
License Grant: nextRIDE grants you a limited, non-exclusive, revocable license to use the App solely for the purpose of providing transportation services to Riders.
Data and Tracking: You consent to the collection and use of your GPS location data and other trip-related data while you are logged into the App. This data is used to match you with Riders, track your performance, and improve the Services.
Ratings System: You acknowledge that Riders will be able to rate you and provide feedback. You understand that low ratings may lead to nextRIDE suspending or terminating your access to the App, at nextRIDE's sole discretion.
Promotional Codes: nextRIDE may, at its sole discretion, create and distribute promotional codes that may be redeemed for credits or benefits. You agree that these promotional codes: (i) must be used for their intended purpose and in a lawful manner; (ii) may not be duplicated, sold, or transferred without nextRIDE's express permission; and (iii) may be disabled by nextRIDE at any time without liability. nextRIDE reserves the right to withhold or deduct credits if it believes the use of a promotional code was in error, fraudulent, or illegal.
Restrictions: You may not: (i) remove any copyright, trademark, or other proprietary notices from any portion of the Services; (ii) decompile, reverse engineer, or disassemble the App; (iii) cause or launch any programs or scripts for the purpose of scraping, indexing, or otherwise data mining any portion of the Services; or (iv) attempt to gain unauthorized access to or impair any aspect of the Services or its related systems or networks.
5. Financial Terms
Fares: Fares for each trip will be calculated as outlined in the App.
Service Fee: nextRIDE will charge you an initial service fee of 15% on each completed trip. nextRIDE reserves the right to adjust this commission based on market conditions, promotions, taxes, and other factors. You authorize nextRIDE to deduct this fee directly from the fare amount before making a payout to you.
Payment Collection Agent: You understand and agree that nextRIDE acts solely as a limited payment collection agent for you. Payment of the fare by the Rider to nextRIDE shall be considered the same as a payment made directly to you.
Payouts: Drivers will receive payouts periodically, currently set for 7 days. Drivers reserve the right to request a withdrawal multiple times a week but acknowledge that beyond the first free withdrawal, any additional withdrawals before the period resets may come at applicable fees.
Payout Methods: Payouts are limited to the various mobile money options available, including MTN Mobile Money, AirtelTigo, and Telecel.
Taxes: You are solely responsible for accurately declaring and paying all applicable taxes on your earnings from the Services, including income tax and any other required contributions.
6. Lost Property
You are solely responsible for ensuring that all Rider property is removed from your vehicle at the end of a trip.
Should you discover a Rider’s property left in your vehicle, you agree to make reasonable efforts to return it to the Rider or to nextRIDE's designated office.
nextRIDE is not liable for any lost or damaged property. You understand and agree that nextRIDE shall not be held responsible if you or any other party fails to hand over property as expected, nor for any damage to or loss of property while it is in transit or in your possession.
7. Confidentiality
You agree not to use or disclose any confidential or proprietary information about nextRIDE, its business operations, its technology, or its users that you may obtain through your use of the App.
8. Termination
Either party may terminate this Agreement at any time, with or without cause, by providing written notice.
nextRIDE reserves the right to suspend or terminate your access to the App without notice for any violation of this Agreement, including but not limited to safety concerns, low ratings, or fraudulent activity. Furthermore, nextRIDE reserves the right to remove any driver from the platform at any point, for any reason, at its sole discretion.
9. Disclaimers; Limitation of Liability; Indemnity
Disclaimer: THE NEXTRIDE APP AND SERVICES ARE PROVIDED "AS IS." NEXTRIDE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. YOU AGREE AND ACKNOWLEDGE THAT YOU ASSUME ALL RISK AND LIABILITY ARISING FROM YOUR PROVISION OF TRANSPORTATION SERVICES. The nextRIDE platform is simply a technology platform that connects drivers with passengers; it is not a transportation provider.
Limitation of Liability: NEXTRIDE SHALL NOT BE LIABLE FOR ANY DAMAGES, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL, ARISING FROM YOUR USE OF THE APP OR THE SERVICES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, OR PERSONAL INJURY.
Indemnity: You agree to indemnify and hold nextRIDE and its affiliates, officers, and employees harmless from any and all claims, demands, losses, and expenses (including attorneys' fees) arising out of or in connection with your use of the App, your provision of transportation services to Riders, or your violation of this Agreement. You agree to be responsible for all claims for personal injury, death, property damage, or otherwise that may arise from any of your actions or inactions while using the nextRIDE platform.
10. Dispute Resolution
Mandatory Internal Resolution: You and nextRIDE agree to first attempt to resolve any dispute informally. You must submit a formal dispute to nextRIDE through the official driver support channels.
Binding Arbitration: Any dispute that cannot be resolved informally shall be settled by binding arbitration in Accra, Ghana, in accordance with the Arbitration Rules of the Alternative Dispute Resolution Centre in Accra. The existence and content of the mediation and arbitration proceedings, including all documents and awards, shall remain strictly confidential. You and nextRIDE agree that each may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action or proceeding.
11. Miscellaneous Provisions
Governing Law: This Agreement is governed by the laws of the Republic of Ghana.
Ownership: The App and all rights therein are and shall remain nextRIDE's property or the property of nextRIDE's licensors.
Entire Agreement: This Agreement constitutes the entire understanding between you and nextRIDE.
Severability: If any provision is deemed unenforceable, the remaining provisions will remain in full force.
Survival: The sections on Independent Contractor Status, Confidentiality, Financial Terms, Disclaimers, and Dispute Resolution shall survive the termination of this Agreement.
Force Majeure: nextRIDE shall not be liable for any delay or failure in performance resulting from causes beyond nextRIDE's reasonable control, including, without limitation, acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, epidemics or pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor or materials.
